1. Relationship of the parties
You are engaged as an independent contractor. Nothing in these Creator Terms creates an employer-employee, agency, partnership, franchise, or joint venture relationship. You are solely responsible for (a) your own tax filings and social contributions in your country of residence, (b) any business licensing or permits required to deliver freelance content services, (c) your own equipment, software, and workspace, and (d) your own insurance.
You have no authority to bind MabrookUGC or any Brand, and you may not hold yourself out as an employee, agent, or official representative of MabrookUGC.
2. Eligibility, onboarding & KYC
- You must be at least 18 years old, have a valid government-issued ID, and be legally eligible to work and receive payments in your country of residence.
- You must submit truthful information during onboarding, including full legal name, date of birth, nationality, residency, contact details, social media handles, and payout details.
- We may require identity verification (KYC) documents (e.g. passport / Emirates ID / equivalent national ID, proof of address, selfie verification). Failure to complete KYC blocks onboarding and payouts.
- You warrant that your social media accounts used on the Platform are owned and operated by you, are not purchased, and do not contain artificially inflated followers or engagement.
- We may reject, suspend, or terminate any Creator account at our sole discretion, including for failed KYC, fraudulent behaviour, suspected bot/fake-follower activity, or behaviour that brings the Platform into disrepute.
3. Assignments, briefs & delivery standards
- Accepting an assignment constitutes a binding commitment to deliver the Content in accordance with the Brief and by the stated deadline.
- You must follow the Brief accurately, including script, scenes, product placement, hook, CTA, runtime, format (vertical 9:16 unless specified otherwise), resolution, and delivery file type.
- Content must be original and produced by you. You may not sub-contract, use AI-generated likenesses of others, stock footage you do not own, or copyrighted music, imagery, or third-party voiceovers without a licence.
- You must not impersonate any third party, use copyrighted characters, brands, logos, or trademarks that do not belong to the Brand, or make any false claims about the Brand's product or service.
- You must disclose paid partnerships where required by applicable law or platform policy, unless the Brief expressly and lawfully instructs otherwise.
- You must deliver Content only via the Platform upload tool. Direct delivery to a Brand outside the Platform is a material breach and grounds for termination and forfeiture of payout.
4. Revisions & acceptance
- Brands may request one (1) revision per video within two (2) calendar days of delivery, limited to editing or re-cutting existing footage.
- You must action reasonable revision requests within 48 hours of receipt.
- Repeated refusal to action revisions that are within scope of the Brief is grounds for non-payment and account suspension.
- Out-of-scope changes (re-shoots, Creator change, new concepts) are not required unless separately commissioned and paid for.
5. Compensation
Rates are gross, in Saudi Riyal (SAR), and are the total per-video compensation owed by MabrookUGC to you for the assignment — including the licence of the Content to the Brand for the Usage Term stated in the Brief, and (for Spark UGC) the Spark authorization for the duration stated in the Brief. You are solely responsible for any applicable taxes in your country of residence.
6. Payouts
6.1 Default payout method — TikTok One (full payout)
Unless otherwise agreed in writing, payouts are processed in full via TikTok One (the "Full Payout Method"). You are responsible for (a) creating and maintaining an active TikTok One creator account, (b) configuring the correct payout details on TikTok One, and (c) complying with TikTok One's own terms and verification requirements. Where TikTok One is used, the payout to you is the full amount stated in Section 5, processed via TikTok One once the Content is approved by the Brand.
6.2 Alternative payout methods
- If TikTok One is not available in your country, or if we offer an alternative method at our discretion, payouts may be made by bank transfer, Wise, Payoneer, or another method we specify. Third-party processor fees are deducted from your payout unless we state otherwise.
- Currency conversion, where applicable, is performed at the rate offered by the chosen processor. We are not responsible for FX rate fluctuations.
6.3 Payout cycle
- Payouts are processed immediately via TikTok One Pay once the Brand approves the deliverable (and, for Spark briefs, you have provided the Spark Ad authorization code).
- Any delays caused by TikTok are out of our control and we do not take responsibility for them.
- We may delay or withhold payout where (a) the Brand has disputed or initiated a chargeback, (b) we reasonably suspect fraud, IP infringement, fake account activity, or breach of these Creator Terms, (c) we are required to do so by law, regulator, or court order, or (d) you have an outstanding debt or clawback owed to us.
7. Referral program
We operate a Creator referral program ("Referral Program") on the following terms:
- Active Creators receive a unique referral link from their dashboard.
- When a new Creator signs up using your link, completes KYC, is accepted onto the Platform, and finishes (delivers and is paid for) their first approved paid project, you earn a referral bonus of SAR 20 (or the amount then displayed on the dashboard, whichever is greater at the time the referred Creator's first project is approved).
- Referral bonuses are credited to your dashboard balance and paid out with your next regular payout cycle, subject to the same minimum threshold and conditions as other payouts.
- Self-referrals, duplicate accounts, multi-account schemes, and referrals of creators who do not independently meet our onboarding standards are prohibited and will be reversed.
- We may modify, suspend, cap, or end the Referral Program at any time. Bonuses already earned and credited will not be affected by termination of the program, except in cases of fraud or breach.
- Referral Program payouts are a marketing incentive and not compensation for services. They do not form part of any employment or agency relationship.
8. Intellectual property & content licence
8.1 Assignment of rights to Content
Upon approval and payment of the applicable fee by the Brand, you irrevocably, perpetually, and worldwide assign to MabrookUGC (or, at our election, directly to the Brand) all rights, title, and interest — including all copyright and related rights — in and to the delivered Content, to the maximum extent permitted by law. Where full assignment is not permitted in your jurisdiction, you grant MabrookUGC and the Brand an irrevocable, perpetual, worldwide, exclusive, royalty-free, sub-licensable, transferable licence to use, reproduce, modify, translate, adapt, distribute, publicly perform, publicly display, and create derivative works of the Content in any medium now known or hereafter developed, for any purpose.
To the maximum extent permitted by law, you waive all moral rights in the Content for the agreed uses. You warrant that you have obtained comparable waivers and releases from any third party appearing in or contributing to the Content (e.g. additional talent, children's guardians).
8.2 Likeness & personality rights
You grant MabrookUGC and the Brand the right to use your name, voice, likeness, biographical details, and social handles solely in connection with the delivered Content and its permitted distribution. This licence does not extend to using your likeness in materials not derived from the Content, unless separately contracted.
8.3 Spark Codes
- Where the assignment includes a Spark Code (or equivalent third-party platform authorization), you agree to issue the Spark Code from your own account to the Brand for the full duration stated in the Brief (e.g. 7, 30, 60, or 365 days).
- You warrant that you will not revoke, withdraw, disable, delete, make private, or otherwise render the Spark Code unusable before the end of the purchased duration.
- Breach of this clause is a material breach. Without prejudice to any other remedy, MabrookUGC may (a) withhold all pending payouts on your account, (b) claw back the Spark Code fee component already paid to you, (c) deduct any such amounts from future payouts, (d) suspend or terminate your account, and (e) pursue damages for losses caused to the affected Brand or to MabrookUGC.
- Where the underlying account is suspended or banned by the third-party platform for reasons outside your control and with no fault on your part, the above clawback shall not apply, but you must notify us in writing within 24 hours of discovery.
8.4 Platform licence
You grant MabrookUGC a worldwide, non-exclusive, royalty-free right to use your name, likeness, and delivered Content for (a) internal operations, (b) quality assurance, (c) portfolio, case studies, and marketing of the Platform itself, with attribution where reasonable. You may opt out of portfolio use by emailing support@mabrookugc.com.
9. Warranties by the Creator
You warrant and represent that:
- You are the sole author of the Content, which is original, and does not infringe any third-party copyright, trademark, publicity, privacy, or other right.
- All music, images, clips, fonts, voiceovers, and third-party material used are either original, licensed to you for this specific commercial use, or sourced from the royalty-free library provided by the Platform (where applicable).
- You have full authority to grant the rights in Section 8.
- The Content does not contain unlawful, defamatory, obscene, discriminatory, or otherwise objectionable material.
- You will comply with all applicable laws, including advertising disclosure laws, tax laws, and the laws of your country of residence.
10. Exclusivity & competing work
- You are not required to work exclusively through MabrookUGC.
- However, for each specific brand you produce Content for via the Platform, you will not directly contact that brand or their affiliates to solicit freelance UGC work outside the Platform for a period of twelve (12) months from the last delivery to that brand through us. Direct-hire solicitation by that Brand to you during the 12-month window must be referred back to MabrookUGC; where the Brand insists on an off-platform engagement, a referral fee of 30% of the gross engagement value is payable to MabrookUGC.
- You will not, for direct competitor brands of a Brand you are already contracted with through us, deliver overlapping UGC within 30 days of the delivery date, unless pre-approved in writing by us.
11. Conduct, performance & three-strike policy
We expect professional conduct at all times. We operate a three-strike policy:
- Strike 1: written warning for late delivery, poor quality, or non-compliance with the Brief.
- Strike 2: temporary suspension and/or partial payout withholding (for the affected order only).
- Strike 3: permanent termination and forfeiture of pending balance (subject to minimum statutory entitlements).
Serious breaches — harassment of staff or Brands, fraud, IP theft, use of fake accounts, plagiarism, off-platform solicitation, impersonation, or unlawful content — are immediate cause for termination without prior strikes and without payout for any affected order.
12. Confidentiality
You agree to treat as confidential any non-public Brand information (briefs, product roadmaps, pricing, samples received, strategies) and any non-public MabrookUGC information (rates, internal tooling, Creator counts, Brand counts, commercial data). You may not publish, share, or repurpose Briefs, product samples, or Brand communications on social media or elsewhere. Confidentiality obligations survive termination indefinitely for trade secrets and for three (3) years for all other confidential information.
13. Indemnification
You agree to defend, indemnify, and hold harmless MabrookUGC, VM MEDIA LLC, its officers, employees, contractors, and the affected Brand from and against any claim, damage, liability, loss, fine, cost, or expense (including reasonable legal fees) arising from (a) your breach of these Creator Terms, (b) a claim that the Content infringes a third-party right, (c) a claim from any person appearing in or contributing to the Content, (d) your tax or regulatory obligations, or (e) any defamatory or unlawful content in a delivered video.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Neither party is liable for indirect, incidental, consequential, special, or punitive damages.
- Our total aggregate liability to you under these Creator Terms, from any cause, is limited to the total amount we have paid you in the three (3) months immediately preceding the event giving rise to liability, or USD 500, whichever is greater.
- Nothing limits liability that cannot be limited under applicable law.
15. Suspension & termination
- Either party may terminate the relationship at any time by written notice. Termination does not affect assignments already in progress, which must be completed.
- We may suspend your account immediately without notice for suspected fraud, IP violation, Spark Code withdrawal, harassment, off-platform solicitation, or material breach.
- On termination, (a) pending payouts that are not subject to clawback or dispute are released in the next regular payout cycle, (b) all IP assignments and licences in Section 8 survive permanently, (c) confidentiality, warranties, indemnities, and governing law survive.
16. Data protection
We process your personal data in accordance with the Privacy Policy, which forms part of these Creator Terms. You acknowledge that, to operate the Platform and process payouts, we share necessary data with Brands (e.g. your Creator profile, delivered Content) and with payout processors.
17. Notices, assignment & miscellaneous
- Notices to us: support@mabrookugc.com. Notices to you: the email address on file.
- You may not assign these Creator Terms. We may assign to an affiliate or successor.
- Severability, waiver, and entire agreement clauses mirror those in the Brand Terms.
- We may update these Creator Terms with 14 days' written notice. Continued use after the effective date constitutes acceptance. Material changes that reduce earned balances will not apply retroactively.
18. Governing law & dispute resolution
These Creator Terms are governed by the federal laws of the United Arab Emirates as applied in the Emirate of Sharjah. Disputes are subject to the exclusive jurisdiction of the competent courts of Sharjah, United Arab Emirates, without prejudice to our right (at our option) to refer any dispute to arbitration under the DIAC Arbitration Rules (seat Dubai, language English, single arbitrator).
For Creators resident outside the UAE: you irrevocably submit to the above jurisdiction and waive any objection based on inconvenient forum or lack of personal jurisdiction.
